Corporate Governance Officer

To implement corporate governance and improve the effectiveness of the Board of Directors, the Board passed a resolution on August 7, 2024, to establish a Corporate Governance Officer. Mr. Huang Yuan-Hui, the Manager of the General Manager’s Office who has served as a supervisor for legal affairs and stock affairs in a public company for more than 3 years, serves as the highest executive officer responsible for corporate governance-related affairs.

The Corporate Governance Officer is responsible for overall coordination and, together with the Stock Affairs Section, handles corporate governance-related matters to promote corporate governance and strengthen the functions of the Board of Directors. The scope of responsibilities includes handling meeting procedures and minutes for Shareholders’ Meetings, Board of Directors Meetings, Audit Committee, and Remuneration Committee; assisting directors in performing their duties and handling director requests; ensuring compliance with laws and regulations regarding the Board of Directors; maintaining information exchange and opinion communication between the Board of Directors, management departments, and Board members; and communicating with Independent Directors on corporate governance-related businesses from time to time.

Yearly Business Execution Status

  1. Handling meeting operations for the Board of Directors and relevant committees, strengthening meeting procedures and interest recusal matters.
  2. Providing information required for directors to perform their duties within the statutory period, reminding directors to comply with relevant regulations during business execution or board resolutions; and providing suggestions or opinions to the board afterwards, tracking subsequent handling and progress.
  3. Coordinating with the latest laws in the field of operation and corporate governance to adjust company regulations, including revising rules of procedure for board meetings, code of ethical conduct for directors, and handling procedures for material inside information, etc.
  4. Arranging continuing education for directors according to industry characteristics, and regularly informing relevant departments of external training course information, assisting directors in practicing diverse training mechanisms, and purchasing liability insurance for directors and key personnel.
  5. Providing information required by the company, maintaining smooth communication and exchange between directors and various business supervisors, and assisting in arranging communication meetings between independent directors and internal audit officers/CPAs to facilitate independent directors in performing their duties.
  6. Handling performance evaluation operations for the Board and functional committees.
  7. Assisting in insider shareholding reporting operations.
  8. Immediate notification to directors regarding the release of material information.
