implement corporate governance and improve the effectiveness of the Board of Directors, the Board passed a resolution on August 7, 2024, to establish a Corporate Governance Officer. Mr. Huang Yuan-Hui, the Manager of the General Manager&#8217;s Office who has served as a supervisor for legal affairs and stock affairs in a public company for more than 3 years, serves as the highest executive officer responsible for corporate governance-related affairs.<\/p><p>The Corporate Governance Officer is responsible for overall coordination and, together with the Stock Affairs Section, handles corporate governance-related matters to promote corporate governance and strengthen the functions of the Board of Directors. The scope of responsibilities includes handling meeting procedures and minutes for Shareholders&#8217; Meetings, Board of Directors Meetings, Audit Committee, and Remuneration Committee; assisting directors in performing their duties and handling director requests; ensuring compliance with laws and regulations regarding the Board of Directors; maintaining information exchange and opinion communication between the Board of Directors, management departments, and Board members; and communicating with Independent Directors on corporate governance-related businesses from time to
